Svehla Law Offices, P.C., L.L.O. NOTICE OF AMENDED AND RESTATED ARTICLES OF INCORPORATION OF LAND, WATER, & LIVESTOCK, INC. Notice is hereby given that on the 25 th day of October, 2022, Amended and Restated Articles of Incorporation of Land, Water, & Livestock, Inc., a Nebraska Corporation, were filed with the Nebraska Secretary of State’s Office. A brief resume of the amendments or restatements are: Article 1. The name of the corporation is Land, Water, & Livestock, Inc.; Article II. The principal offices of the corporation shall be at 2301 Old Mill Road, Seward, NE 68434; Article III. The purpose of the corporation is to engage in any lawful act or activity for which a corporation may be organized under the Nebraska Model Business Corporation Act; Article IV. The corporation shall have authority to issue ten thousand (10,000) shares of common stock with a par value of each said share being one dollar ($1.00) per share; Article V. The corporation shall be managed, directed, and controlled by a Board of Directors consisting of at least one (1) member; Article VI. Provides for meetings of the shareholders, election of officers, and voting requirements; Article VII. Limits the personal liability of the corporation’s directors; Article VIII. Provides for the indemnification of directors, officers, employees, and other agents of the corporation; Article IX. Reserves the right of the corporation to amend or alter any provision contained in the Articles of Incorporation; Article X. Directs that if any of the provisions of the Amended and Restated Articles of Incorporation are held unenforceable or void by a court of law, the remaining provisions remain enforceable; Article XI. Authorizes the corporation to take any action requiring shareholder approval without a meeting if shareholder consent is given in writing; Article XII. Gives power to make, alter, or repeal the by-laws of the corporation to the Board of Directors; Article XIII.
