NOTICE OF DISSOLUTION Celiac Support Association, Inc., a Nebraska non-profit corporation, (“CSA”) hereby provides its Notice of Dissolution. 1. CSA has entered into an agreement to transfer all of its assets to New England Celiac Organization, Inc., d/b/a National Celiac Association, an organization qualified as tax exempt under the provisions of Section 501(c)(3) of the Internal Revenue Code of 1986. 2. CSA shall maintain sufficient assets and funds to pay or settle its liabilities. 3. Following the transfer, CSA will file Articles of Dissolution with the Nebraska Secretary of State. 4. The name of the person who is to wind up and liquidate the affairs of CSA is: Bruce Homstead who is the President of the Board of Directors of CSA. 5. The assets of the corporation consist of furniture and office equipment, its membership roster, the Recognition Seal Program, the interests in Celiac Foods LLC, trademarks, copyrighted materials, et al. 6.
