NOTICE OF AMENDED AND RESTATED ARTICLES OF INCORPORATION OF Borchers Brothers Farms, Inc. Pursuant to the provisions of the Nebraska Model Business Corporation Act, this Notice of Amended and Restated Articles of Incorporation of Borchers Brothers Farms, Inc. formerly Paul Meister Farm, Inc. is submitted as follows: 1. The amended and restated Articles revoke the original Articles of Incorporation and any amendments thereto, in their entirety and substitute the Amended and Restated Articles of Incorporation filed with the Nebraska Secretary of State effective on January 11, 2021. 2. The amended and restated Articles of Incorporation were approved by the Shareholders and unanimously adopted by the Board of Directors on December 23, 2020. 3. The aggregate number of shares which the corporation shall have the authority to issue is Ten Thousand (10,000) shares of common stock of One Dollar ($1) par value per share.
